Effective Date: September 1, 2026 Last Updated: September 5, 2026.
These Terms of Use, together with any additional terms, policies, order forms, subscription terms, enterprise agreements, data-processing agreements, or other documents expressly incorporated by reference, govern access to and use of Promptority.com and the Promptority Services.
Please read these Terms carefully before using the Services.
By creating an account, purchasing or using tokens or other paid functionality, accessing an authenticated workspace, using AI-assisted functionality, uploading information, creating an Artifact, connecting an integration, or otherwise accessing or using the Services, you acknowledge that you have read and understood these Terms and agree to be bound by them.
If you are using the Services on behalf of a company, organization, employer, institution, partnership, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, references to “you” or “your” may include that entity as applicable.
If you do not agree to these Terms, you may not use the Services.
1. Introduction
Promptority provides an AI-assisted reasoning, knowledge, workflow, and orchestration environment designed to help users transform objectives into structured, context-aware work products.
Promptority is not intended to operate merely as an unrestricted conversational interface or generic content generator.
The Services may assist users with activities such as:
- developing objectives;
- improving instructions;
- structuring complex problems;
- organizing context;
- retrieving authorized knowledge;
- performing research and analysis;
- generating written materials;
- creating software or structured outputs;
- developing strategies;
- coordinating multi-stage workflows;
- reviewing generated work;
- creating reusable professional artifacts; and
- initiating user-authorized external workflows.
Promptority uses a structured methodology that may distinguish between an initial human objective, intermediate reasoning and orchestration processes, relevant supporting information, and the final output presented to the user.
The purpose of this structure is to improve the clarity and usefulness of AI-assisted work. It does not guarantee that any output will be accurate, complete, commercially successful, legally sufficient, factually correct, or appropriate for every use.

“Token” means a unit, credit, entitlement, or similar mechanism used to authorize or measure access to defined units of Promptority work.
“Workspace” means an environment within Promptority through which a user may prepare, execute, save, organize, or manage work.
3. Promptority’s Operating Philosophy
Promptority is designed around an objective-first methodology.
Rather than beginning exclusively with unrestricted free-form generation, certain Promptority workflows may seek to identify or improve information such as:
- the user’s objective;
- relevant context;
- applicable constraints;
- intended audience;
- desired tone;
- required sources or knowledge;
- output requirements;
- evaluation standards; and
- other information that may materially affect the quality of execution.
Promptority may use this information to structure a task before initiating substantive AI-assisted work.
This methodology reflects a product-design philosophy and does not create a contractual guarantee concerning the quality, accuracy, or suitability of any result.
4. Eligibility
You may use the Services only if you are legally capable of entering into these Terms and are not prohibited from using the Services under applicable law.
If you use Promptority on behalf of an organization, you represent and warrant that:
- you are authorized to act for that organization;
- you have authority to agree to these Terms on its behalf; and
- your use of the Services complies with the organization’s applicable policies and contractual obligations.
Promptority may establish additional eligibility requirements for particular Services, geographic locations, enterprise offerings, regulated use cases, or account types.
5. Anonymous and Authenticated Use
Certain portions of Promptority may be accessible without an Account.
Anonymous functionality may include introductory, demonstration, educational, locally processed, or limited interactive features.
Promptority may restrict cloud processing, persistent storage, Private Knowledge, advanced workflows, token-based work, integrations, organizational functionality, or other features to authenticated users.
Availability of anonymous functionality does not create a right to continued anonymous access.
Promptority may change which features require authentication at any time.
6. Account Registration
To use certain Services, you must establish an Account.
You agree to provide information that is accurate and reasonably complete when creating or maintaining your Account.
You may not:
- impersonate another person or organization;
- create an Account using materially false information;
- use credentials you are not authorized to use;
- transfer an Account in violation of these Terms; or
- knowingly allow unauthorized persons to access restricted functionality through your Account.
Promptority may require verification of identity, email address, organization, payment information, or other account information where reasonably necessary for security, administration, fraud prevention, regulatory compliance, or access control.
7. Account Security and Stewardship
You are responsible for maintaining reasonable security over your Account.
This includes protecting:
- passwords;
- authentication codes;
- API credentials;
- integration credentials;
- security devices;
- administrative access;
- shared-workspace permissions; and
- other authentication mechanisms under your control.
You are responsible for activity occurring through your Account to the extent caused by your actions, instructions, authorized users, negligence, or failure to maintain reasonable credential security.
You must promptly notify Promptority through an available support or security channel if you reasonably believe:
- your Account has been compromised;
- credentials have been stolen;
- an unauthorized person has obtained access;
- an integration has been improperly activated; or
- other suspicious activity has occurred.
Promptority may suspend access to an Account when reasonably necessary to investigate or mitigate suspected compromise, fraud, abuse, security risk, or violation of these Terms.
8. Organizational Accounts and Authorized Users
An organization may permit multiple users to access a Promptority environment.
The organization is responsible for managing which individuals are authorized to use the applicable organizational Account or Workspace.
An organizational administrator may have authority to:
- add or remove users;
- modify permissions;
- access certain organizational information;
- configure integrations;
- manage Private Knowledge;
- establish usage policies;
- manage tokens or budgets;
- restrict functionality;
- review certain activity; and
- administer applicable organizational settings.
Users of an organization-controlled Account should understand that their organization may control the Workspace and may have access to information associated with that Workspace, subject to applicable agreements and law.
9. User Responsibility for Submitted Content
You are responsible for Content you submit to the Services.
You represent and warrant that you have the rights, permissions, licenses, consents, or other authority reasonably necessary to submit such Content and authorize Promptority to process it as contemplated by these Terms.
You may not knowingly submit Content in a manner that:
- violates applicable law;
- infringes intellectual property rights;
- violates contractual confidentiality obligations;
- misappropriates trade secrets;
- violates privacy or data-protection rights;
- violates export restrictions;
- circumvents legally required access restrictions;
- unlawfully exposes sensitive personal information; or
- otherwise violates the rights of another person.
Promptority does not assume responsibility for determining whether you have legal authority to upload or process particular Content.
10. Private Knowledge
Promptority may allow authorized users to create or use Private Knowledge Spaces.
Private Knowledge may be used to assist with:
- retrieval;
- grounding;
- research;
- contextualization;
- comparison;
- analysis;
- drafting;
- verification; and
- other authorized workflow functions.
You are responsible for determining whether information is appropriate to include in a Private Knowledge environment.
You must not upload or connect information you are not legally authorized to possess or process.
11. Tenant and Access Isolation
Promptority is designed to apply authorization boundaries to Private Knowledge and other restricted resources.
Access to a resource should depend on applicable permissions rather than technical similarity alone.
Promptority may use account, organization, tenant, role, workspace, resource, or workflow information to determine whether a user or process is authorized to retrieve Content.
You may not attempt to access Private Knowledge, Artifacts, credentials, metadata, or other protected information belonging to another user or organization without authorization.
Any deliberate attempt to circumvent tenant isolation or access restrictions may result in immediate suspension or termination.
12. AI Processing
Promptority may use one or more AI Processing Services to perform requested functionality.
Promptority may select processing capabilities according to factors including:
- task requirements;
- availability;
- reliability;
- performance;
- security;
- cost;
- technical suitability;
- context requirements;
- output requirements;
- policy restrictions; and
- other operational considerations.
Promptority does not guarantee that a particular AI model, technology, infrastructure provider, or processing configuration will be used for any particular request.
Promptority may add, remove, substitute, reconfigure, or change underlying processing technologies without notice when doing so does not materially change the user’s contractual rights.
13. Confidentiality of Internal AI Infrastructure
Promptority treats certain information about its internal processing architecture as confidential and proprietary.
Accordingly, Promptority is not required to publicly disclose:
- names of specific underlying AI providers;
- model identities;
- provider ranking;
- routing priorities;
- failover sequence;
- model-selection rules;
- internal system instructions;
- proprietary prompts;
- verification mechanisms;
- evaluation logic;
- orchestration logic;
- security signatures;
- provider-specific error handling;
- infrastructure topology;
- internal performance thresholds;
- internal pricing calculations;
- API keys;
- credentials; or
- other operational details that could reasonably expose trade secrets, security controls, vendor relationships, or proprietary methods.
General references to “AI Processing Services,” “processing infrastructure,” “approved processing services,” or similar terminology may encompass one or more external or internal technologies.
14. Service Continuity and Processing Resilience
Promptority may use alternate processing capabilities when a particular processing service is unavailable, impaired, unsuitable, or unable to complete a request.
Such mechanisms are designed to improve service continuity.
Promptority may determine whether alternate processing is appropriate based on internal operational rules.
Alternate processing is not intended to circumvent:
- safety controls;
- legal restrictions;
- account restrictions;
- authorization failures;
- payment failures;
- prohibited-use controls; or
- other substantive restrictions.
Promptority does not guarantee uninterrupted availability of any processing resource.
15. Guided Interview and Readiness Assessment
Certain Promptority workflows may use a guided process to obtain additional information before execution.
The process may ask the user to clarify matters such as:
- objective;
- context;
- constraints;
- tone;
- audience;
- sources;
- success criteria; and
- output expectations.
Promptority may assign a readiness score, readiness level, completeness indicator, or similar assessment.
A readiness assessment is intended to indicate the relative completeness of the information provided to the system.
It is not:
- a prediction of factual accuracy;
- a guarantee of successful output;
- a confidence score concerning truth;
- a professional certification;
- a legal opinion;
- a guarantee of commercial success; or
- a warranty of fitness for purpose.
A user may be permitted to proceed despite incomplete information.
Where that option is available, the user accepts the increased risk that the resulting output may be incomplete, inaccurate, or poorly aligned with the intended objective.
16. Reasoning Modes and Promptority Methodologies
Promptority may provide proprietary reasoning frameworks, techniques, modes, taxonomies, tools, labels, ontologies, or workflow methods.
These may include branded or proprietary methodologies intended to help users structure work.
Selection of a reasoning mode does not guarantee any particular result.
A reasoning framework may help organize analysis but cannot guarantee:
- accuracy;
- objectivity;
- legal sufficiency;
- complete issue identification;
- factual completeness;
- absence of bias; or
- successful decision-making.
Users remain responsible for determining whether a methodology is appropriate for their intended purpose.
17. Advanced and Multi-Stage Workflows
Certain Promptority functionality may involve multiple specialized processing stages.
These stages may perform roles such as:
- research;
- retrieval;
- analysis;
- evaluation;
- writing;
- review;
- synthesis;
- formatting;
- verification; or
- publishing preparation.
Promptority may internally allocate work among these components.
References to “workers,” “agents,” “reviewers,” or similar terminology describe functional software roles and do not imply that an autonomous legal person, employee, professional adviser, or fiduciary is performing the task.
18. Human Approval Gates
Certain external or consequential actions may require explicit user authorization before completion.
An approval gate may be used before an automated or AI-assisted workflow:
- publishes content;
- commits code;
- transmits an Artifact;
- creates an external record;
- initiates an external workflow;
- modifies an external system;
- posts information;
- sends information to a third party; or
- performs another supported consequential action.
Where an approval gate is presented, the user is responsible for reviewing the proposed action before approval.
User approval constitutes authorization for Promptority to perform the approved action through the relevant integration.
Not every action or integration necessarily includes the same approval workflow unless expressly indicated by the Services.
19. Code and Technical Workspaces
Promptority may offer environments that generate, display, analyze, preview, or manipulate software code.
Some environments may include restricted or sandboxed previews.
Users may not intentionally bypass a sandbox, technical restriction, execution boundary, permission mechanism, or other safeguard.
Unless expressly authorized through a supported feature, you may not:
- execute arbitrary server-side code on Promptority infrastructure;
- upload or execute malware;
- access the operating system underlying the Services;
- access unauthorized environment variables;
- probe internal credentials;
- perform unauthorized network scanning;
- exploit vulnerabilities;
- establish persistent unauthorized access;
- run cryptomining or comparable abusive workloads; or
- use Promptority infrastructure as a general-purpose unauthorized compute environment.
Intentional circumvention of technical execution boundaries may constitute a material breach of these Terms.
20. Tokens and Work-Based Usage
Promptority may offer functionality that is purchased or consumed using Tokens.
Tokens are intended to represent access to defined units of Promptority work or functionality.
Tokens are not necessarily equivalent to:
- raw processing time;
- a fixed number of computational operations;
- the internal cost Promptority incurs;
- a cryptocurrency;
- money;
- stored legal tender;
- a security;
- a financial investment; or
- ownership in Promptority.
Unless Promptority expressly states otherwise in writing, Tokens have no cash value outside the Services.
21. Work-Unit Pricing Philosophy
Promptority may establish prices based on meaningful units of work rather than exposing raw infrastructure consumption to users.
For example, a Promptority work unit may be associated with:
- prompt refinement;
- document analysis;
- professional writing;
- research;
- structured reasoning;
- negotiation preparation;
- business analysis;
- software-related work;
- multi-stage orchestration;
- knowledge retrieval; or
- another defined output or workflow.
The relationship between customer-facing Token prices and Promptority’s internal cost structure is proprietary.
Promptority is not required to disclose underlying infrastructure cost, provider pricing, model pricing, internal margin, routing cost, or other confidential pricing inputs.
22. Token Estimates
Before certain tasks are performed, Promptority may present an estimated Token requirement or workload classification.
An estimate may be based on factors including:
- complexity;
- context size;
- requested workflow;
- retrieval requirements;
- output requirements;
- number of processing stages;
- configured features; and
- other operational factors.
An estimate is not necessarily a direct representation of Promptority’s underlying infrastructure cost.
Where a final cost may differ materially from an estimate, Promptority may require further user authorization before continuing.
23. Token Reservation
Promptority may reserve Tokens before beginning certain paid work.
A reservation is intended to confirm that sufficient balance is available and to support consistent accounting during distributed or multi-stage processing.
Reserved Tokens may temporarily become unavailable for other work while the corresponding operation is pending.
Promptority may use transaction identifiers and similar mechanisms to reduce the risk of duplicate charging.
24. Token Consumption
Tokens may be finalized or deducted when work reaches the completion condition established for the applicable service.
The applicable completion condition may differ by feature.
For example, completion may occur when the Service successfully:
- produces a requested response;
- creates an Artifact;
- completes a workflow;
- retrieves and processes requested information;
- produces a supported deliverable; or
- completes another defined work unit.
Promptority may determine reasonable technical criteria for when a work unit has successfully completed.
25. Failed or Interrupted Work
If paid work does not successfully complete because of a qualifying technical failure, Promptority may release or reverse a Token reservation according to the applicable transaction rules.
Not every unsuccessful user outcome constitutes a technical failure.
For example, Tokens may still be consumed where the Services successfully execute the requested work but:
- the user dislikes the result;
- the AI output contains an error;
- the output does not produce the user’s desired commercial outcome;
- the user supplied insufficient information;
- an instruction was ambiguous;
- the requested conclusion was unsupported by available evidence; or
- the generated work otherwise fails to satisfy a subjective preference.
Promptority may separately provide refund, adjustment, or support policies.
26. Processing Resilience and Duplicate Charges
Promptority may use more than one processing resource in attempting to complete a single authorized work unit.
Where Promptority itself initiates alternate processing solely for technical reliability, Promptority’s objective is to avoid charging the user multiple times for what is presented as a single successful paid work unit.
Internal retry or resilience activity does not necessarily create a separate user-facing work unit.
This principle does not prevent separate charges for:
- user-requested re-execution;
- additional work;
- revised workflows;
- additional research;
- expanded output;
- additional workers;
- newly authorized external actions; or
- other distinct paid functionality.
27. Token Expiration, Refunds, and Changes
Promptority may establish rules governing:
- Token expiration;
- promotional Tokens;
- subscription Tokens;
- purchased Tokens;
- refunds;
- account closure;
- disputed transactions;
- credits;
- adjustments; and
- unused balances.
Applicable rules should be displayed or incorporated into the commercial terms governing the relevant purchase.
Promptority may change Token prices prospectively.
Where required by applicable law, changes will not retroactively alter rights that have already vested under a completed purchase.
28. Intellectual Property in the Platform
Promptority and its licensors retain all right, title, and interest in the Services and Promptority technology.
This includes rights in:
- software;
- code;
- interfaces;
- designs;
- architecture;
- workflows;
- taxonomies;
- reasoning frameworks;
- ontologies;
- orchestration systems;
- prompt-development methods;
- internal tools;
- evaluation techniques;
- security controls;
- databases;
- documentation;
- business methods;
- trademarks;
- logos;
- trade dress;
- proprietary data structures; and
- other Promptority intellectual property.
Except for the limited right to use the Services under these Terms, no intellectual property rights are transferred to you.
29. Artifact Rights
As between Promptority and the user, and subject to applicable law and third-party rights, the user retains rights in original Content the user submits and receives the rights Promptority is able to grant in eligible Artifacts created specifically for that user.
This provision does not transfer to the user ownership of:
- Promptority software;
- Promptority methodologies;
- system prompts;
- proprietary orchestration;
- reusable platform components;
- internal tools;
- general algorithms;
- infrastructure;
- pre-existing Promptority materials; or
- underlying third-party technology.
Artifact rights are also subject to applicable law.
AI-generated material may not qualify for copyright or other intellectual property protection in every jurisdiction or circumstance.
Promptority therefore does not warrant that every Artifact is protectable by copyright, patent, trade secret, or other intellectual property law.
30. Similar or Identical Outputs
Because artificial intelligence systems may generate similar results for different users, you acknowledge that another user may receive content that resembles or is identical to part of an Artifact generated for you.
Your rights in an Artifact do not extend to:
- independent third-party content;
- another user’s Content;
- generally known information;
- generic ideas;
- Promptority’s underlying technology; or
- content lawfully generated independently for another user.
Promptority does not guarantee exclusivity of AI-generated output unless an express written agreement provides otherwise.
31. License to Process User Content
You grant Promptority a non-exclusive, worldwide license to host, store, copy, transmit, retrieve, analyze, transform, process, display to authorized users, and otherwise use your Content to the extent reasonably necessary to:
- operate the Services;
- execute your instructions;
- maintain your Workspace;
- provide Private Knowledge functionality;
- create requested Artifacts;
- perform authorized integrations;
- maintain security;

This license is limited to purposes connected with providing, administering, protecting, and lawfully operating the Services.
32. Feedback
If you voluntarily provide ideas, suggestions, comments, recommendations, or other feedback about Promptority, you grant Promptority the right to use that feedback without restriction or compensation, provided that Promptority does not acquire ownership of confidential underlying user Content merely because feedback references the Services.
You should not submit feedback containing third-party confidential information unless authorized to do so.
33. Artifact Storage and Export
Promptority may permit users to save Artifacts within the platform.
Subject to applicable feature availability, users may also be able to:
- download;
- copy;
- export;
- API-connect;
- transmit;

- otherwise use an Artifact outside Promptority.
Supported formats may include:
- structured data;
- Markdown;
- JSON;
- CSV;
- documents;
- code; and
- other supported formats.
Promptority may change supported formats or export features over time.
34. Integrations
Promptority may allow users to connect external applications, platforms, repositories, websites, workflow systems, APIs, or other services.
When you connect a third-party service, you authorize Promptority to exchange the information reasonably necessary to perform the requested integration functionality.
You are responsible for:
- maintaining authorization to use the connected service;
- protecting integration credentials under your control;
- reviewing proposed external actions;
- complying with third-party terms;
- determining whether the transfer is lawful; and
- understanding the consequences of sending information outside Promptority.
Third-party services are governed by their own terms and privacy practices.
Promptority is not responsible for an independent third party’s handling of information after a valid user-authorized transfer.
35. Prohibited Uses
You may not use the Services in a manner that violates applicable law, infringes another person’s rights, compromises the Services, or materially interferes with another user’s access.
Without limiting the foregoing, you may not knowingly:
- access an Account without authorization;
- attempt to access another tenant’s Private Knowledge;
- steal or extract credentials;
- bypass security restrictions;
- circumvent authentication;
- exploit software vulnerabilities;
- introduce malicious software;
- interfere with service availability;

- probe confidential routing systems;
- scrape proprietary platform logic;
- reverse engineer protected Promptority technology except where applicable law expressly prohibits that restriction;
- use automated systems to impose unreasonable infrastructure load;
- reproduce substantial portions of proprietary Promptority systems to create a competing service through unlawful means;
- remove intellectual property notices;
- misrepresent Promptority output as independently verified professional advice; or
- encourage another person to engage in prohibited conduct.
36. Prompt Injection and Instruction Manipulation
Promptority distinguishes between legitimate user instructions and attempts to compromise platform-level controls.
Users may test, analyze, or refine prompts in the ordinary course of legitimate use.
However, users may not intentionally use prompt-manipulation techniques to:
- obtain another user’s confidential information;
- access protected internal instructions;
- bypass authorization;
- obtain restricted credentials;
- evade usage accounting;
- cause unauthorized external actions;
- circumvent legally required safeguards; or
- compromise Promptority’s security.
A prompt injection contained within a user-uploaded document may also affect processing.
Users should exercise appropriate care when uploading documents obtained from untrusted sources.
37. User Responsibility for Malicious or Manipulative Documents
Private Knowledge or other user-supplied materials may contain malicious, misleading, hidden, or adversarial instructions.
Promptority may implement controls intended to reduce these risks.
However, no prompt-injection or content-security system can guarantee detection of every adversarial instruction.
You are responsible for exercising reasonable judgment concerning the sources of information you upload or connect to the Services.
To the extent permitted by law, Promptority is not responsible for harm primarily caused by a user’s knowing upload or authorization of malicious materials, except to the extent such harm results from Promptority’s own breach of an applicable contractual or legal obligation.
38. Scraping and Competitive Misappropriation
You may not use automated means to systematically extract Promptority’s proprietary information for the purpose of unlawfully reproducing or misappropriating:
- internal reasoning frameworks;
- proprietary workflows;
- taxonomies;
- product architecture;
- proprietary prompt libraries;
- system instructions;
- protected user interfaces;
- pricing logic;
- routing logic; or
- other confidential platform technology.
Nothing in these Terms prohibits lawful interoperability, benchmarking, research, reverse engineering, or other activity to the extent a restriction would be unenforceable under applicable law.
39. Diagnostics and Security Monitoring
Promptority may monitor technical activity reasonably necessary to:
- maintain security;
- identify abuse;
- troubleshoot errors;
- detect fraud;
- protect infrastructure;
- investigate suspected violations;
- monitor reliability; and
- enforce these Terms.
Diagnostic information may be filtered or redacted before being made available to users or support personnel.
Promptority may withhold technical information where disclosure could reasonably:
- expose credentials;
- compromise security;
- reveal confidential user information;
- reveal proprietary architecture;
- enable exploitation; or
- materially weaken platform defenses.
40. Suspension
Promptority may temporarily suspend or restrict access when reasonably necessary to:
- protect an Account;
- prevent unauthorized access;
- investigate suspected fraud;
- mitigate security risk;
- respond to excessive infrastructure load;
- enforce these Terms;
- prevent unlawful activity;
- respond to legal requirements;
- address nonpayment; or
- protect Promptority or other users.
Where reasonably practicable, Promptority may provide notice of suspension.
Immediate suspension may occur without advance notice where Promptority reasonably believes delay would create material risk.
41. Termination by User
A user may stop using the Services at any time.
Where supported, a user may request Account closure through the account interface or applicable support process.
Account closure does not necessarily entitle a user to a refund of unused Tokens, subscription fees, or other charges except where required by applicable law or expressly provided by applicable commercial terms.
Certain provisions of these Terms will survive termination where necessary to give them effect.
42. Termination by Promptority
Promptority may terminate an Account or these Terms where:
- the user materially breaches these Terms;
- the user engages in fraud;
- the user compromises system security;
- continued service would violate applicable law;
- the user repeatedly fails to pay amounts due;
- the Account creates substantial risk to Promptority or others;
- the user uses the Services for serious unlawful activity; or
- termination is otherwise permitted by an applicable written agreement.
Promptority may also discontinue a Service generally.
Where commercially reasonable, Promptority may provide notice before discontinuing material paid functionality, subject to emergency, legal, security, or infrastructure circumstances.
43. Effect of Termination
Upon termination:
- the user’s right to access the terminated Services ends;
- access to certain stored Content may cease;
- integrations may stop functioning;
- unfinished workflows may be terminated;
- Tokens may be handled according to applicable commercial terms; and
- Promptority may retain information where permitted or required under its Privacy Policy and applicable law.
Users should export important Artifacts before voluntarily closing an Account where export functionality is available.
44. AI Limitations
Artificial intelligence is probabilistic and imperfect.
Outputs may contain:
- fabricated statements;
- factual errors;
- omissions;
- outdated information;
- incorrect calculations;
- improper citations;
- misunderstood instructions;
- biased assumptions;
- incomplete analysis;
- inaccurate summaries;
- erroneous code;
- inappropriate recommendations; or
- other defects.
Promptority does not guarantee that AI-assisted output is true merely because it is presented confidently or supported by retrieved information.
45. Retrieval and Grounding Limitations
Promptority may use Private Knowledge or other retrieved material to ground an output.
Retrieval improves the ability of the Services to use relevant user-authorized information but does not guarantee:
- complete retrieval;
- perfect citation;
- correct interpretation;
- absence of hallucination;
- complete factual coverage; or
- consistency with all source documents.
Users should independently review important source material before relying on generated output.
46. No Professional Advice
Unless Promptority expressly enters into a separate written professional-services agreement, the Services do not themselves constitute legal, medical, accounting, tax, financial, investment, engineering, cybersecurity, or other licensed professional advice.
AI-generated material concerning regulated or consequential matters should be reviewed by a qualified professional where appropriate.
Promptority does not create an attorney-client, doctor-patient, fiduciary, investment-adviser, accountant-client, or similar professional relationship merely by generating Content.
47. High-Impact Decisions
You should not rely solely on Promptority output when making decisions involving material consequences to a person’s:
- legal rights;
- employment;
- credit;
- housing;
- healthcare;
- insurance;
- education;
- financial circumstances;
- safety;
- regulatory status; or
- similar high-impact interests.
Appropriate human review should be used where required by law or appropriate to the risk involved.
48. User Responsibility for Decisions
Promptority assists with reasoning and information processing.
The user remains responsible for decisions made using Promptority output.
You are responsible for:
- reviewing the output;
- verifying important facts;
- determining whether additional expertise is required;
- assessing applicability to your circumstances;
- evaluating business consequences; and
- obtaining appropriate professional advice where necessary.
Promptority does not assume responsibility for a user’s independent business judgment merely because the user relied on an Artifact generated through the Services.
49. Third-Party Services
The Services may depend upon third-party infrastructure, software, APIs, data sources, websites, services, or processing technologies.
Promptority does not control all third-party systems.
Accordingly, third-party outages, policy changes, service limitations, security events, changes in functionality, or other third-party actions may affect Promptority.
Promptority does not warrant continuous availability of third-party services.
50. Third-Party Content
Promptority output may reference, retrieve, summarize, or link to third-party information.
Promptority does not automatically endorse third-party content merely because it appears in an AI-assisted response.
Third-party information may be inaccurate, outdated, incomplete, or subject to separate intellectual property rights.
You are responsible for evaluating third-party materials before relying upon them.
51. Service Availability
Promptority seeks to provide reliable Services but does not guarantee uninterrupted availability.
The Services may be temporarily unavailable because of:
- maintenance;
- upgrades;
- security events;
- infrastructure failure;
- external service failure;
- network issues;
- capacity constraints;
- force majeure;
- legal restrictions; or
- other circumstances.
Promptority may modify, suspend, replace, or discontinue functionality from time to time.
52. Beta and Experimental Features
Promptority may make preview, beta, experimental, early-access, test, or evaluation features available.
Such features may:
- contain errors;
- change materially;
- become unavailable;
- produce unreliable output;
- have incomplete documentation; or

Unless otherwise agreed in writing, experimental functionality is provided without a guarantee of continued availability.
53. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
PROMPTORITY DISCLAIMS WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, TO THE EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- AVAILABILITY;
- RELIABILITY; AND
- SATISFACTORY QUALITY.
PROMPTORITY DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED;
- ALL ERRORS WILL BE CORRECTED;
- OUTPUTS WILL BE ACCURATE;
- ARTIFACTS WILL ACHIEVE A PARTICULAR RESULT;
- PRIVATE KNOWLEDGE RETRIEVAL WILL IDENTIFY EVERY RELEVANT SOURCE;
- GENERATED CODE WILL BE ERROR-FREE OR SECURE;
- AN OUTPUT WILL BE SUITABLE FOR PROFESSIONAL RELIANCE; OR
- THE SERVICES WILL MEET EVERY USER REQUIREMENT.
Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.
54. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROMPTORITY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THE SERVICES.
THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, DAMAGES FOR:
- LOST PROFITS;
- LOST REVENUE;
- LOST BUSINESS OPPORTUNITIES;
- LOSS OF GOODWILL;
- LOSS OF DATA;
- BUSINESS INTERRUPTION;
- PROCUREMENT OF SUBSTITUTE SERVICES; OR
- DECISIONS MADE IN RELIANCE ON AI-GENERATED OUTPUTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTORITY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID TO PROMPTORITY FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE [THREE/SIX/TWELVE] MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR
- [US$100 / OTHER AMOUNT].
This limitation is intended to allocate risk between the parties and applies regardless of the legal theory asserted, except to the extent applicable law prohibits such limitation.
55. Exclusions From Liability Limitations
Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.
Depending on applicable law, this may include certain liability arising from:
- fraud;
- fraudulent misrepresentation;
- willful misconduct;
- gross negligence;
- death or personal injury caused by negligence; or
- other liability that applicable law makes non-excludable.
The exact scope of these exceptions depends on jurisdiction.
56. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Promptority and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, damages, liabilities, judgments, losses, costs, and reasonable legal fees arising out of or relating to:
- Content you submit without appropriate rights;
- your unlawful use of the Services;
- your material breach of these Terms;
- infringement caused by your Content;
- your unauthorized use of another person’s data;
- your misuse of integrations;
- your intentional circumvention of security controls; or
- your violation of another person’s rights.
This indemnity does not require you to indemnify Promptority for losses caused solely by Promptority’s own unlawful conduct to the extent such indemnification would be prohibited by applicable law.
Promptority will provide reasonable notice of an indemnified claim and may control the defense and settlement, subject to applicable law and any separate enterprise agreement.
57. Confidential Promptority Information
During use of the Services, a user may inadvertently or intentionally encounter non-public information concerning Promptority’s technology or operations.
Confidential Promptority information may include:
- unreleased features;
- non-public architecture;
- internal prompts;
- security mechanisms;
- provider relationships;
- routing methodology;
- internal pricing logic;
- credentials;
- unpublished APIs;
- proprietary evaluation methods;
- internal documentation; and
- other information reasonably understood to be confidential.
You may not knowingly disclose or exploit non-public Promptority information obtained through unauthorized access, security circumvention, system error, or violation of these Terms.
Nothing in this section prohibits lawful reporting of security vulnerabilities under applicable law or an authorized vulnerability-disclosure process.
58. Privacy
Promptority’s Privacy Policy explains how Promptority handles personal information in connection with the Services.
By using the Services, you acknowledge that information will be processed as described in the applicable Privacy Policy.
These Terms do not reduce any rights that cannot lawfully be waived under applicable data-protection law.
59. Security
Promptority uses administrative, technical, and organizational safeguards intended to protect the Services.
No system can provide absolute security.
You acknowledge that use of Internet-connected services involves risks including:
- unauthorized access;
- credential compromise;
- software vulnerabilities;
- malicious files;
- transmission risk;
- third-party outages; and
- cybersecurity incidents.
Users remain responsible for maintaining appropriate security controls within their own systems and devices.
60. Changes to the Services
Promptority may improve, modify, redesign, replace, restrict, or discontinue features.
Changes may include:
- user-interface changes;
- workflow changes;
- pricing changes;
- model or processing changes;
- integration changes;
- storage changes;
- new product tiers;
- feature consolidation;
- security changes; and
- infrastructure changes.
Promptority is not obligated to preserve a particular internal technology, workflow, model, provider, or implementation indefinitely.
61. Changes to These Terms
Promptority may revise these Terms from time to time.
The revised Terms will identify an updated effective date.
Where required by law, Promptority may provide reasonable notice of material changes.
Continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by applicable law.
If you do not agree to a material revision, you should stop using the Services and close your Account.
62. Notices
Promptority may provide notices through:
- the Services;
- Account notifications;
- email;
- a website notice;
- an administrative dashboard; or
- another reasonable electronic method.
Users are responsible for maintaining current contact information associated with their Account.
Legal notices to Promptority should be sent to:
Promptority Legal [Legal Entity Name] [Business Address] [Legal Notice Email]
63. Governing Law
These Terms are governed by the laws of [State/Country], without regard to its conflict-of-law principles, except where applicable law requires otherwise.
The original statement that the Terms are governed merely by “the jurisdiction in which Promptority operates” should not be used in the final published Terms because that language is unnecessarily uncertain.
A specific governing jurisdiction should be selected before publication.
64. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services will be resolved according to the dispute-resolution procedure selected by Promptority and stated here before publication.
Choose and complete one of the following approaches:
Court Jurisdiction: The parties submit to the exclusive jurisdiction of the state and federal courts located in [County, State/Country].
OR
Arbitration: Any dispute arising out of or relating to these Terms will be resolved by binding arbitration administered by [Arbitration Provider] under its applicable rules, subject to any exceptions required by applicable law.
If arbitration is selected, the final provision should address matters such as:
- arbitration location;
- governing rules;
- arbitrator selection;
- allocation of fees;
- small-claims exceptions;
- injunctive relief;
- class-action treatment; and
- consumer-law requirements.
Promptority should not publish a binding arbitration provision without jurisdiction-specific legal review.
65. Export Controls and Sanctions
You may not use, export, re-export, transfer, or make available the Services in violation of applicable export-control, trade-control, or sanctions laws.
You represent that you are not prohibited from receiving the Services under laws applicable to you or Promptority.
Users conducting cross-border, regulated, defense-related, or export-controlled work are responsible for determining whether additional restrictions apply to their Content or use case.
66. Assignment
You may not assign or transfer these Terms without Promptority’s prior written consent, except where applicable law provides otherwise.
Promptority may assign these Terms in connection with:
- a merger;
- acquisition;
- corporate reorganization;
- sale of substantially all relevant assets;
- financing;
- restructuring; or
- transfer to an affiliate.
Any attempted assignment prohibited by this section is void to the extent permitted by law.
67. Force Majeure
Promptority will not be responsible for delay or failure caused by circumstances beyond its reasonable control, including:
- natural disasters;
- severe weather;
- acts of government;
- war;
- terrorism;
- civil disturbance;
- labor disputes;
- utility failure;
- Internet disruption;
- telecommunications failure;
- cyberattack;
- third-party infrastructure failure;
- widespread cloud-service failure;
- epidemic or pandemic;
- supply-chain disruption; or
- similar events.
This provision does not excuse obligations that applicable law does not permit to be excused.
68. No Waiver
A failure by Promptority to enforce a provision of these Terms does not waive its right to enforce that provision later.
Any waiver must be made in writing by an authorized representative unless applicable law provides otherwise.
69. Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.
The remaining provisions will continue in effect.
70. No Third-Party Beneficiaries
Except where expressly stated otherwise, these Terms do not create rights in any person or entity other than the parties.
71. Relationship of the Parties
These Terms do not create a:
- partnership;
- joint venture;
- employment relationship;
- fiduciary relationship;
- franchise;
- agency relationship; or
- professional-services relationship
between the user and Promptority merely through use of the Services.
Neither party has authority to bind the other except as expressly provided by written agreement.
72. Entire Agreement
These Terms, together with the Privacy Policy and any applicable order form, enterprise agreement, data-processing agreement, subscription agreement, additional product terms, or other expressly incorporated terms, constitute the agreement between the parties concerning the Services covered by those documents.
Where a separately signed written agreement expressly conflicts with these Terms, the signed agreement will control to the extent of the conflict.
This provision replaces prior statements suggesting that the Terms alone necessarily constitute the entire agreement in every circumstance.
73. Order of Precedence
Unless another written agreement provides otherwise, conflicts among Promptority contractual documents should be resolved in the following order:
- a mutually signed enterprise or commercial agreement;
- an applicable order form;
- a data-processing agreement, but only for data-protection matters within its scope;
- product-specific additional terms;
- these Terms of Use; and
- the Privacy Policy.
A final commercial implementation may use a different hierarchy.
The order should be confirmed before publication.
74. Survival
Provisions that by their nature are intended to survive termination will continue after termination.
These may include provisions concerning:
- intellectual property;
- unpaid amounts;
- confidentiality;
- disclaimers;
- limitation of liability;
- indemnification;
- dispute resolution;
- governing law;
- effect of termination; and
- other provisions necessary to enforce accrued rights.
75. Interpretation
Headings are included for convenience and do not alter the meaning of these Terms.
Words such as “including” or “includes” mean “including without limitation” unless the context requires otherwise.
References to writing may include electronic communications where legally permitted.
Nothing in these Terms should be interpreted against a party solely because that party participated in drafting the document.
76. Contact Information
Questions concerning these Terms may be directed to:
Promptority Legal or Administrative Team [Legal Entity Name] [Business Address] [Legal Email Address] [Support Portal]
Privacy-related requests should be submitted through the channels identified in the Promptority Privacy Policy.
77. Summary of Important User Commitments
By using Promptority, you agree that:
You control what you submit. You are responsible for ensuring you have appropriate authority to provide Content to the Services.
Your Account must remain secure. You are responsible for protecting credentials and managing authorized users.
Private Knowledge must be lawfully obtained. Promptority’s isolation technology does not give you rights in information you were not authorized to upload.
AI output requires review. Generated work may contain errors and should not be treated as automatically verified.
Tokens purchase Promptority work units. They do not represent ownership of underlying compute infrastructure, cash, cryptocurrency, or an investment interest.
Promptority’s infrastructure is confidential. Use of the Services does not entitle users to know the identity, ranking, routing, failover order, credentials, proprietary prompts, or other protected details of Promptority’s underlying AI infrastructure.
Artifacts are intended to be useful and portable. Subject to applicable law and third-party rights, users may retain applicable rights in their own Content and eligible generated Artifacts.
External actions remain subject to user responsibility. When you authorize an integration or approve an external action, you are instructing Promptority to carry it out.
You may not attack or misuse the platform. Attempts to compromise tenant isolation, accounting, credentials, protected internal instructions, security systems, or technical restrictions may result in immediate suspension or termination.
Promptority assists human judgment rather than replacing it. Users remain responsible for consequential decisions based on generated work.
78. Final Acknowledgment
Promptority is designed to provide a structured environment in which human objectives, contextual information, authorized knowledge, computational reasoning, and professional work products can be coordinated more effectively.
The technology underlying such a system necessarily includes proprietary methods, confidential infrastructure relationships, security mechanisms, computational services, and internal operational logic.
These Terms are intended to provide users with meaningful information concerning their rights and responsibilities without requiring Promptority to expose trade secrets, provider relationships, confidential security controls, internal routing methodologies, or other information whose disclosure could reasonably weaken the platform or its competitive position.
By accessing or using the Services, you acknowledge that AI-assisted systems involve inherent uncertainty and agree to use Promptority with appropriate human judgment, verification, security practices, and professional oversight where appropriate.
FINAL ADDENDUM — AGE, USER RESPONSIBILITY, ASSUMPTION OF RISK, AND RELEASE OF LIABILITY
This Final Addendum forms an integral part of the Promptority Terms of Use and applies to every user of the Promptority Services. In the event of any inconsistency between this Addendum and another provision of the Terms concerning user responsibility, assumption of risk, release, or liability, this Addendum will control to the maximum extent permitted by applicable law.
79. Minimum Age Requirement
By accessing, registering for, purchasing, or using any Promptority Service, you represent, warrant, and certify that you are at least eighteen (18) years of age.
You may not create an Account, purchase Tokens, upload Content, use Private Knowledge functionality, execute AI-assisted work, authorize an integration, approve an external action, or otherwise use the Services if you are under eighteen (18) years of age.
By continuing to use the Services, you affirm that you have the legal capacity to enter into these Terms and accept the obligations, risk allocations, disclaimers, releases, and limitations contained in them.
If you are using Promptority on behalf of a business, organization, employer, partnership, institution, or other legal entity, you additionally represent that you have the legal authority to act for and bind that entity.
80. Complete User Responsibility for Actions and Inactions
You acknowledge and agree that you are solely responsible for your actions and inactions in connection with the Promptority Services and for the consequences of your use or non-use of information, recommendations, analyses, Artifacts, Content, workflows, integrations, or other output made available through Promptority.
Promptority provides tools that assist human reasoning, research, analysis, drafting, organization, knowledge retrieval, workflow execution, and decision support. Promptority does not assume control over your judgment, conduct, business operations, professional obligations, legal obligations, or decisions.
You therefore accept responsibility for determining:
- whether to use any Promptority output;
- whether to act on any Promptority output;
- whether to disregard any Promptority output;
- whether additional information is required;
- whether an output should be independently verified;
- whether professional advice should be obtained;
- whether an action is lawful;
- whether you have authority to perform an action;
- whether an integration should be activated;
- whether Content should be transmitted to a third party;
- whether generated code should be deployed;
- whether a document should be published;
- whether a recommendation should be implemented;
- whether a transaction should be entered into;
- whether a business, financial, legal, operational, technical, or other decision should be made; and
- whether you should take, delay, modify, or refrain from taking any particular action.
Your decision to act or not act remains your own decision.
81. Responsibility for Verification
You agree that you will independently evaluate Promptority outputs before relying on them where the consequences of error could be material.
Promptority output may contain inaccuracies, omissions, hallucinations, incorrect assumptions, outdated information, faulty citations, errors in reasoning, incorrect calculations, defective code, incomplete analysis, or other defects.
You acknowledge that no readiness score, reasoning framework, Private Knowledge retrieval process, verification process, review stage, specialized worker, orchestration method, or other Promptority functionality eliminates the need for appropriate human judgment.
You agree that you are responsible for obtaining qualified professional advice where appropriate, including legal, financial, accounting, tax, medical, regulatory, cybersecurity, engineering, investment, employment, or other specialized advice.
82. Assumption of Risk
To the maximum extent permitted by applicable law, you voluntarily assume all risks associated with your use of the Services.
This includes risks associated with:
- reliance on AI-generated information;
- inaccurate or incomplete output;
- failure to act;
- delay in acting;
- incorrect interpretation of an Artifact;
- business decisions;
- commercial transactions;
- contract negotiations;
- investments;
- financial decisions;
- operational decisions;
- employment decisions;
- publication decisions;
- software deployment;
- use of generated code;
- third-party integrations;
- transmission of information;
- disclosure of user-provided Content;
- use of Private Knowledge;
- actions authorized through an integration;
- errors originating from information supplied by you;
- failure to maintain Account security;
- failure to review an output before relying upon it; and
- any other consequences arising from your decisions concerning the Services.
You acknowledge that Promptority is provided as a tool and that the existence of AI-assisted analysis does not transfer responsibility for your conduct or decisions to Promptority.
83. User Responsibility for External Actions
Where Promptority enables you to send, publish, deploy, transmit, commit, export, post, integrate, or otherwise communicate an Artifact or other Content to an external system, you remain solely responsible for approving that action and its consequences.
A Promptority approval mechanism is a technical authorization process. It is not a representation that the proposed action is:
- legally permissible;
- commercially advisable;
- accurate;
- secure;
- appropriate;
- non-infringing;
- compliant with third-party terms; or
- suitable for your intended purpose.
By approving an external action, you instruct Promptority to perform that action on your behalf and accept responsibility for the consequences of your authorization.
84. Release of Promptority and Its Principals
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY RELEASE AND DISCHARGE PROMPTORITY AND ITS PRINCIPALS FROM CLAIMS, DEMANDS, DAMAGES, LOSSES, LIABILITIES, COSTS, EXPENSES, AND CAUSES OF ACTION ARISING OUT OF OR RELATING TO YOUR USE OF, RELIANCE ON, INTERPRETATION OF, OR FAILURE TO USE THE PROMPTORITY SERVICES OR ANY AI-GENERATED OUTPUT.
For purposes of this Addendum, “Promptority Parties” includes Promptority and its:
- founders;
- owners;
- members;
- shareholders;
- principals;
- officers;
- directors;
- managers;
- employees;
- representatives;
- contractors;
- consultants;
- agents;
- affiliates;
- licensors;
- successors;
- permitted assigns; and
- authorized service providers.
To the maximum extent permitted by applicable law, you agree that the Promptority Parties will not be liable to you for losses resulting from your actions or inactions, including actions taken or not taken in reliance upon Promptority-generated information or functionality.
85. No Transfer of Decision-Making Responsibility
You acknowledge that Promptority’s ability to:
- analyze information;
- produce recommendations;
- identify risks;
- summarize documents;
- perform research;
- generate code;
- prepare strategies;
- organize workflows;
- retrieve Private Knowledge;
- compare alternatives; or
- coordinate multiple AI-assisted processing stages
does not mean that Promptority has assumed responsibility for the underlying decision.
No output, recommendation, score, Artifact, analysis, warning, workflow, or other result transfers decision-making authority or responsibility from you to Promptority.
You remain the final decision-maker unless a separate written agreement expressly provides otherwise.
86. No Fiduciary or Advisory Responsibility
Your use of Promptority does not create a fiduciary, advisory, professional, agency, trustee, partnership, joint-venture, employment, attorney-client, accountant-client, investment-adviser, doctor-patient, or similar relationship between you and any Promptority Party.
Promptority and its principals do not become responsible for managing your affairs, protecting your interests, monitoring your decisions, identifying every possible risk, or preventing you from making an unfavorable decision merely because you use the Services.
87. Responsibility for Submitted Information
You accept responsibility for the accuracy, legality, completeness, appropriateness, and authorization status of information you submit to Promptority.
Promptority may generate an output based on information supplied by you.
If information supplied by you is inaccurate, incomplete, misleading, unauthorized, outdated, or otherwise defective, the resulting output may also be defective.
You agree that Promptority and the Promptority Parties are not responsible for consequences caused by inaccurate, incomplete, unlawful, misleading, or unauthorized information submitted, connected, uploaded, approved, or otherwise provided by you.
88. Responsibility for Private Knowledge
You are responsible for determining what information may lawfully and appropriately be uploaded to or connected with a Private Knowledge environment.
You represent that you have all rights, authority, permissions, and consents reasonably necessary for Promptority to process information you place within the Services.
You remain responsible for:
- confidentiality obligations owed to third parties;
- intellectual property rights;
- privacy requirements;
- contractual restrictions;
- regulated information;
- trade secrets;
- personal information;
- data-protection requirements; and
- organizational policies applicable to your Content.
Promptority’s technical ability to process Content does not constitute a determination that you are legally entitled to provide it.
89. Responsibility for Business and Professional Decisions
Promptority may assist with sophisticated commercial, strategic, analytical, contractual, financial, operational, or professional work.
You acknowledge that the apparent sophistication of an Artifact does not establish its correctness.
You remain solely responsible for decisions involving, among other things:
- business formation;
- business strategy;
- contracts;
- negotiations;
- hiring;
- termination of personnel;
- pricing;
- purchasing;
- sales;
- investment;
- financing;
- taxation;
- regulatory compliance;
- intellectual property;
- cybersecurity;
- software deployment;
- public communications;
- litigation;
- legal rights;
- financial obligations; and
- other consequential matters.
Promptority and its principals do not accept responsibility merely because a decision was informed by a Promptority-generated Artifact.
90. No Guarantee of Outcomes
Promptority does not guarantee that use of the Services will produce:
- profits;
- revenue;
- cost savings;
- successful negotiations;
- successful investments;
- favorable legal outcomes;
- regulatory compliance;
- successful projects;
- successful software;
- accurate forecasts;
- successful marketing;
- successful employment decisions;
- successful transactions; or
- any other particular result.
You acknowledge that outcomes depend on numerous factors outside Promptority’s control.
91. Maximum Contractual Allocation of Responsibility to User
To the maximum extent permitted by applicable law, the parties intend that responsibility for decisions made by the user, actions taken by the user, and actions that the user elects not to take remain entirely with the user.
Accordingly, to the maximum extent permitted by applicable law, you accept full responsibility for losses, liabilities, obligations, claims, damages, expenses, and other consequences resulting from your own:
- acts;
- omissions;
- decisions;
- instructions;
- approvals;
- authorizations;
- reliance;
- non-reliance;
- misuse of information;
- failure to verify information;
- violation of law;
- violation of third-party rights;
- failure to obtain professional advice; or
- failure to exercise reasonable judgment.
Nothing about Promptority’s participation in generating, structuring, retrieving, processing, transmitting, or displaying information should be interpreted as Promptority assuming responsibility for your ultimate conduct.
92. Limitation and Release Concerning Promptority’s Principals
To the maximum extent permitted by applicable law, no founder, owner, shareholder, member, officer, director, principal, employee, contractor, consultant, agent, or representative of Promptority will have personal liability to a user merely because of that person’s ownership of, employment by, management of, service to, or involvement with Promptority.
You agree that claims concerning the Services must be asserted, if at all, against the legally appropriate contracting party and not personally against Promptority’s principals, except where applicable law expressly provides otherwise or where liability cannot legally be excluded.
93. Covenant Not to Seek Recovery for User-Controlled Conduct
To the maximum extent permitted by applicable law, you agree not to seek recovery from a Promptority Party for damages or losses that arise primarily from:
- a decision you made;
- an action you authorized;
- an action you performed;
- an action you declined to perform;
- your failure to verify an output;
- your failure to obtain professional advice;
- your use of inaccurate information supplied by you;
- your violation of applicable law;
- your misuse of the Services; or
- your violation of these Terms.
This provision does not eliminate any liability that applicable law prohibits the parties from excluding.
94. No Reliance on Promptority as Guarantor
You acknowledge that Promptority does not serve as the guarantor of:
- your decisions;
- your business;
- your investments;
- your transactions;
- your compliance obligations;
- your legal position;
- your software;
- your publications;
- your integrations;
- your employees;
- your customers;
- your professional work; or
- any outcome arising from your use of the Services.
The Services provide assistance and computational functionality. They do not insure or guarantee your decisions or conduct.
95. Maximum Limitation of Liability
WITHOUT LIMITING ANY OTHER DISCLAIMER OR LIMITATION CONTAINED IN THESE TERMS, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE PROMPTORITY PARTIES WILL HAVE NO LIABILITY, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, EQUITY, OR OTHERWISE, FOR LOSSES ARISING FROM A USER’S ACTIONS, INACTIONS, DECISIONS, RELIANCE, FAILURE TO VERIFY INFORMATION, OR FAILURE TO OBTAIN APPROPRIATE PROFESSIONAL REVIEW.
THE PARTIES EXPRESSLY INTEND THIS PROVISION TO PROVIDE THE PROMPTORITY PARTIES WITH THE BROADEST CONTRACTUAL PROTECTION PERMITTED BY APPLICABLE LAW.
WHERE APPLICABLE LAW DOES NOT PERMIT COMPLETE EXCLUSION OF LIABILITY, LIABILITY WILL INSTEAD BE LIMITED TO THE MAXIMUM EXTENT LAWFULLY PERMITTED AND WILL REMAIN SUBJECT TO THE LIABILITY CAP AND OTHER LIMITATIONS SET FORTH IN THESE TERMS.
96. Non-Waivable Rights and Liabilities
Nothing in these Terms is intended to exclude, waive, release, or limit a right or liability that applicable law does not permit the parties to exclude, waive, release, or limit.
If applicable law prevents enforcement of any portion of this Addendum as written, that provision will be interpreted and enforced to provide Promptority and the Promptority Parties with the maximum lawful protection while preserving the remainder of the Addendum.
The inability to enforce one limitation in a particular jurisdiction will not invalidate the other limitations, releases, disclaimers, assumptions of risk, or allocations of responsibility contained in these Terms.
97. Express Acknowledgment
BY ACCESSING OR USING PROMPTORITY, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
- YOU ARE AT LEAST EIGHTEEN (18) YEARS OLD.
- YOU HAVE THE LEGAL CAPACITY AND AUTHORITY TO ACCEPT THESE TERMS.
- YOU ARE RESPONSIBLE FOR THE CONTENT YOU SUBMIT TO THE SERVICES.
- YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING AI-GENERATED OUTPUT.
- YOU ARE RESPONSIBLE FOR DETERMINING WHETHER PROFESSIONAL REVIEW IS REQUIRED.
- YOU ARE RESPONSIBLE FOR ALL DECISIONS YOU MAKE USING OR RELATING TO PROMPTORITY OUTPUT.
- YOU ARE RESPONSIBLE FOR ACTIONS YOU TAKE AND ACTIONS YOU ELECT NOT TO TAKE.
- YOU VOLUNTARILY ASSUME THE RISKS ASSOCIATED WITH YOUR USE OF AI-ASSISTED TECHNOLOGY.
- PROMPTORITY DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, SUITABILITY, OR SUCCESS OF ANY OUTPUT.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU RELEASE PROMPTORITY AND ITS PRINCIPALS FROM LIABILITY ARISING FROM YOUR ACTIONS, INACTIONS, DECISIONS, RELIANCE, OR USE OF THE SERVICES.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROMPTORITY PARTIES WILL NOT BE PERSONALLY OR OTHERWISE LIABLE FOR LOSSES ARISING FROM USER-CONTROLLED DECISIONS OR CONDUCT.
- ANY LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW AND SUBJECT TO THE OTHER LIMITATIONS IN THESE TERMS.
BY CREATING AN ACCOUNT, PURCHASING OR USING PAID FUNCTIONALITY, OR OTHERWISE ACCESSING THE PROMPTORITY SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS OF USE.
YOUR CONTINUED ACCESS TO OR USE OF PROMPTORITY CONSTITUTES YOUR EXPRESS ACCEPTANCE OF THIS FINAL ADDENDUM AND THE ALLOCATION OF RESPONSIBILITY AND RISK DESCRIBED ABOVE.
